These Terms of Use ("Terms") govern your access to and use of the website located at onyina.com (the "Site"), operated by Onyina Group Ltd ("Onyina", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Purpose of the Site

The Site is a corporate and product information website. It provides information about Onyina and its products (including SabiDoc, FinPulse Ai, and Kasa), and allows visitors to submit inquiries, register interest in products, and apply for employment opportunities. The Site does not currently provide any software-as-a-service, financial services, or consumer-facing product access.

2. Eligibility

You must be at least 16 years of age to use this Site. By using the Site, you represent that you meet this requirement. Individuals under 16 may not submit personal data through our forms without verifiable parental consent.

3. Acceptable Use

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the Site in any way that violates applicable local, national, or international law or regulation.
  • Submit false, misleading, or fraudulent information through any form on the Site.

When you submit information through a form on the Site (including contact inquiries, job applications, or waitlist registrations), you represent that:

  • The information you provide is accurate and not misleading.
  • You are authorised to submit the information on behalf of yourself or any organisation you represent.
  • You consent to us processing that information in accordance with our Privacy Policy.

Submission of an inquiry or application does not create any obligation on Onyina to respond, engage, hire, or enter into any agreement.

All content on the Site, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Onyina Group Ltd or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws.

You may view and print individual pages of the Site for personal, non-commercial use only. You must not reproduce, redistribute, republish, sell, license, or otherwise exploit any content from the Site without our prior written permission.

The Onyina name, logo, "FinPulse Ai", "Kasa", and associated marks are trademarks or service marks of Onyina Group Ltd. Nothing in these Terms grants you any licence to use our marks.

6. Third-Party Links

The Site may contain links to third-party websites, including LinkedIn, GitHub, Cal.com, and others. These links are provided for convenience only. We do not endorse, control, or accept responsibility for the content, privacy practices, or availability of those sites. Visiting any third-party site is at your own risk and subject to that site's own terms and privacy policy.

7. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Onyina does not warrant that the Site will be free of errors, viruses, or other harmful components. Information on the Site may be out of date. We reserve the right to modify, suspend, or discontinue the Site at any time without notice.

Nothing on the Site constitutes legal, financial, investment, or professional advice. You should seek appropriate independent advice before relying on any information on this Site.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Onyina Group Ltd, its directors, officers, employees, agents, suppliers, and licensors shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, data, goodwill, or other intangible losses.
  • Any damages arising from your use of or inability to use the Site.
  • Any unauthorised access to or alteration of your data.

Our total liability to you for any claim arising out of or relating to these Terms or the Site shall not exceed the amount, if any, paid by you to us in the twelve months preceding the claim (which, for a free informational website, is zero).

9. Indemnification

You agree to indemnify and hold harmless Onyina and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site, your breach of these Terms, or your violation of any law or third-party right.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Accra, Ghana.

Where required by applicable law in your jurisdiction (e.g., EU consumer protection laws), local mandatory provisions will apply and will take precedence over these Terms to the extent of any conflict.

11. Changes to These Terms

We may revise these Terms at any time. When we do, we will update the effective date above. Material changes will be notified via a prominent notice on the Site. Your continued use of the Site after changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Onyina with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written.
